The Website Owner, including subsidiaries and affiliates (“Website” or “Website Owner” or “we” or “us” or “our”, and including but not limited to the URL http://www.verbalicity.com) provides the information contained on this website or any of the pages comprising the website (“website”) to visitors (“visitors”) (cumulatively referred to as “you” or “your” hereinafter) subject to the terms and conditions set out in these website terms and conditions, the privacy policy and any other relevant terms and conditions, policies and notices which may be applicable to a specific section or module of this website. The terms “Class” and “Lesson” are used interchangeably in these terms and conditions.

The trade marks, names, logos and service marks (collectively “trademarks”) displayed on this website are registered and unregistered trademarks of the Website Owner. Nothing contained on this website should be construed as granting any license or right to use any trade mark without the prior written permission of the Website Owner.

External links may be provided for your convenience, but they are beyond the control of the Website Owner and no representation is made as to their content. Use or reliance on any external links and the content thereon provided is at your own risk. When visiting external links you must refer to that external websites terms and conditions of use. No information shall be construed as advice and information is offered for information purposes only. You and your company rely on the information contained on this website at your own risk. 6. Use of the Website.
The Website Owner does not make any warranty or representation that information on the website is appropriate for use in any jurisdiction (other than Alberta, Canada). By accessing the website, you warrant and represent to the Website Owner that you are legally entitled to do so and to make use of information made available via the website.
Lessons
7. Lesson Hour
Each lesson that is listed as a one hour lesson will be allocated 60 minutes. Therefore, all the one hour lessons will each have a duration of 60 minutes unless otherwise stated. The lesson hour includes time that will be allotted to assign/review homework, as well as to plan for the next lesson.
8. Lesson Attendance
The Teacher will wait for 15 minutes from the start time of the lesson and if after such time the Student does not connect to Skype and start the lesson then the Teacher will treat that lesson as having been taken and no refund will be given for non-attendance.
9. Lesson Scheduling
Lessons are scheduled by contacting your teacher directly, or if necessary, the coordinator at contact@verbalicity.com. Although teachers try their best to accommodate the schedules of the students, we cannot guarantee that your teacher will be available at the exact time requested. Therefore it is advisable to present the teacher with a few options when scheduling a lesson.
10. Rescheduling or Cancellation of Lessons
A lesson may be rescheduled or cancelled by emailing your teacher no later than 12 hours before the original lesson reservation. Any rescheduling or cancellation with less than 12 hours’ notice will result in loss of the lesson credit, which will not be re-funded.
11. Cancellation by the Teacher
From time to time, the Teacher may have an unavoidable emergency or illness that could result in them having to cancel your scheduled lessons. When this happens you will be sent an Email as soon as the Teacher is aware of the conflict. You will not be charged the lesson credit for the cancelled lessons and you are free to re-book your lesson or lessons at a time when the Teacher advises you that they are available.
12. Interruptions
From time to time, a lesson may be interrupted due to technical difficulty (ex. electricity shortage etc.). In case of a technical interruption, the teacher will discuss with the student and decide the best way to recover the lost time, which may result in additional time added to subsequent lessons, not counting the interrupted lesson against lesson credits, or other means.
13. Expiry
Lessons and lesson packages are valid for a period of one calendar year following the date of purchase. If there are lesson credits remaining after one year from the original purchase date, the credits will expire and cannot be re-credited. Extensions to the one year period may be granted on a case-by-case basis, via email at contact@verbalicity.com.
14. Money Back Guarantee
A 100% refund of the purchase price of unused lesson credits will be provided if an email request is received at contact@verbalicity.com within 30 days of the order date. Refund only applies to new customers making a first-time purchase. Lesson credits that are already used will be charged at the single lesson rate and subtracted from the order price, with the remaining amount to be refunded. All refunds are processed through our payment processors (Stripe/Paypal). Please allow up to 2 weeks to process the refund.
15. Joint Lessons
Lessons are meant to be taken between one student and one teacher; however a student may bring one additional person to join the lesson, provided that the student obtains consent from his/her teacher. The teacher has the right to deny the additional student, in the interest of preserving the quality of the learning experience. It is the responsibility of the person paying for the lesson to ensure the other classmate attends the Skype lesson.
Referrals
16. Referral Links
You will be issued a special URL once you activate your Verbalicity account, which will be unique to you and you only, and will allow you to be earn bonus lessons in exchange for referrals.
17. Successful Referrals
In order for bonus lessons to be earned, the invited customer must first click on the referrer’s URL link, and register for and complete a trial lesson. After the trial lesson, the customer must place an order for additional lessons and remit full payment of 10 or more lessons through the Verbalicity website.
Verbalicity offers tracking cookies of 30 days. Customer purchases made after 30 days of clicking the referral link will not count towards the 10 lesson threshold for earning bonus lessons. If the invited customer deletes the cookies in their browser, neither the invited customer nor the referrer will be awarded a bonus lesson.
Bonus lessons will only be awarded for sales that are made when the invited customer clicks through qualified, correctly structured referral links and emails. To properly share links is the sole responsibility of the referrer.
18. Referral Bonus Lessons
The referrer can earn multiple bonus lessons for referring multiple friends. Each customer can only earn one bonus lesson for accepting the referral for one of their friends.
Bonus lessons have no monetary value and cannot be refunded / exchanged in any way. Bonus lessons do not have an expiry date.
Other
19. Entire Agreement.
These website terms and conditions constitute the sole record of the agreement between you and the Website Owner in relation to your use of the website. Neither you nor the Website Owner shall be bound by any express tacit nor implied representation, warranty, promise or the like not recorded herein. Unless otherwise specifically stated these website terms and conditions supersede and replace all prior commitments, undertakings or representations and terms and conditions, whether written or oral, between you and the Website Owner in respect of your use of the website. The entire terms and conditions are updated regularly and it is the customer’s own responsibility to keep them informed of the latest conditions that affect them and their lesson purchases.
20. Alteration
the Website Owner may at any time modify any relevant terms and conditions, policies or notices. You acknowledge that by visiting the website and/or using our services, you shall become bound to the current version of the relevant terms and conditions (the “current version”) and, unless stated in the current version, all previous versions shall be superseded by the current version. You shall be responsible for reviewing the current version each time you visit the website or use our services.
21. Cession
The Website Owner shall be entitled to cede, assign and delegate all or any of its rights and obligations in terms of any relevant terms and conditions, policies and notices to any third party.
22. Applicable laws
Any relevant terms and conditions, policies and notices shall be governed by and construed in accordance with the laws of Canada without giving effect to any principles of conflict of law. You hereby consent to the exclusive jurisdiction of the courts of Alberta, Canada in respect of any disputes arising in connection with the website, or any relevant terms and conditions, policies and notices or any matter related to or in connection therewith.
Privacy Policy
1. Introduction
This Privacy Policy governs the manner in which Verbalicity collects, uses, maintains and discloses information collected from users (each, a “User”) of http://www.verbalicity.com. Hereafter referred to as “Website”. This privacy policy applies to the Site and all products and services offered by Verbalicity.
2. The Information We Collect
Your privacy is important to us. To better protect your privacy we provide this notice explaining our online information practices and the choices you can make about the way your information is collected and used.
Trial Lesson
When you register for a trial lesson, we collect basic personal information such as: Name, Email Address, Skype Username, Location / Timezone.
Purchases
When you purchase lessons through our website, we collect basic information such as: Name, Email Address.
We do not view nor store your credit card information. If choose to pay via PayPal, you will be redirected to the secure Paypal website where you can pay using your PayPal account or enter your credit card information there. If you choose to pay on the Website via Stripe, your credit card information is directly transmitted via secure connection to our third-party payment processor.
3. Web browser cookies
Our Site may use “cookies” to enhance User experience. User’s web browser places cookies on their hard drive for record-keeping purposes and sometimes to track information about them. User may choose to set their web browser to refuse cookies, or to alert you when cookies are being sent. If they do so, note that some parts of the Site may not function properly.
4. The Way We Use Information
We use the information you provide about yourself when placing an order for lessons or purchases with the Website to complete that order. We may also use the information to send you updates on our lessons and services, and request feedback so that we can serve you better in the future. We do not share this information with outside parties except to the extent necessary to complete the order.
We use return email addresses submitted under the “Contact Us” section of the website to answer the email we receive. Such addresses are not used for any other purpose and are not shared with outside parties whatsoever.
We may use non-identifying and aggregate information to better design our website. For example, we may tell an analytics service that X number of individuals visited a certain area on our website, but we would not disclose anything that could be used to identify those individuals.
Finally, we never use or share the personally identifiable information provided to us online in ways unrelated to the ones described above without also providing you an opportunity to opt-out or otherwise prohibit such unrelated uses.
5. Sharing your personal information
We do not sell, trade, or rent Users personal identification information to others. We may share generic aggregated demographic information not linked to any personal identification information regarding visitors and users with our business partners, trusted affiliates and advertisers for the purposes outlined above.

You can access all your personally identifiable information that we collect online and maintain by logging into your Verbalicity account, and selecting “Update Profile”.

By contacting Verbalicity, whether through our online forms or directly via email, you are giving us permission to contact you via email. If you sign up for paid lessons you are also giving them permission to contact you with information about your lessons, teachers, and any promotions. Verbalicity will never sell your emails to a 3rd party.
